Terms of Service

These Terms of Service (“Terms”) govern your use of Contextberg, a Windows desktop application and related cloud services (collectively, the “Service”) operated by an individual developer (“we,” “us”). By downloading, installing, or using Contextberg, you agree to these Terms.

1. Service Overview

Contextberg is a productivity tracking application for Windows that records your PC activity and analyzes it using AI. The Service consists of:

  • Desktop Application — Records activity data locally on your PC.
  • Cloud Services (optional) — Account management, subscription billing, and AI analysis via external APIs.

The Free plan operates entirely locally with no cloud dependency. Paid plans (Lite, Pro) provide additional features including cloud-based AI analysis.

2. Your Content and Data Ownership

Your data belongs to you. All activity data recorded by Contextberg (application usage, keyboard input, screen captures, clipboard content, browser history) is your property.

By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service — including transmitting data to AI analysis services when you have enabled that feature. We do not use your data for any other purpose.

You can export your data in JSON/CSV format and delete it at any time from the Settings screen.

3. Account and Eligibility

An account is required only for paid plans. When you create an account, you are responsible for maintaining the security of your login credentials and for all activity under your account.

You must be at least 13 years old to use Contextberg. If you are under 18, you must have the consent of a parent or legal guardian.

4. Software License

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Contextberg on your personal computer for your own productivity tracking purposes.

You may not:

  • Reverse-engineer, decompile, or disassemble the software, except as permitted by applicable law.
  • Redistribute, sublicense, or resell the software.
  • Remove or alter any proprietary notices or labels.

5. Paid Plans and Billing

Paid plans are billed on a recurring basis (monthly or annually) through Stripe. By subscribing, you authorize automatic recurring charges until you cancel.

  • Price changes — We will notify you by email at least 30 days before any price increase takes effect.
  • Cancellation — You can cancel at any time. Your paid features remain active until the end of the current billing period.
  • Refunds — Refunds are provided only as required by applicable law or at our sole discretion.
  • Downgrade — After cancellation, your account reverts to the Free plan. Your local data is not affected.

6. Prohibited Uses

You agree not to use Contextberg to:

  • Monitor other people’s activity without their knowledge and explicit consent.
  • Collect passwords, personal information, or sensitive data of others.
  • Circumvent security measures or access systems without authorization.
  • Use the Service for any purpose that violates applicable laws or regulations.
  • Interfere with or disrupt the Service or its infrastructure.
  • Attempt to gain unauthorized access to the Service’s servers or systems.

7. Intellectual Property

Contextberg, its logo, design, and source code are the intellectual property of the developer. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology beyond the software license described in Section 4.

8. Service Changes and Discontinuation

We may modify, update, or discontinue any part of the Service at any time. For significant changes or discontinuation, we will provide reasonable prior notice via email or in-app notification.

The desktop application will continue to function locally even if cloud services are discontinued.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We are not responsible for data loss resulting from software errors, system failures, or user actions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $20 USD.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, BUSINESS PROFITS, OR BUSINESS INTERRUPTION.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms.

Upon termination, your right to use the Service ceases. Your local data remains on your PC and is not affected. Most recorded data can be deleted from the Settings screen. For data not accessible through Settings (e.g. database files, log files), you can directly delete Contextberg’s data folder via Windows Explorer.

12. Governing Law and Disputes

These Terms are governed by the laws of Japan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Before filing any formal legal action, we encourage you to contact us at support@contextberg.com to attempt to resolve the dispute informally.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notification at least 30 days before the changes take effect.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may stop using the Service and delete your account.
